Terms of Service

1. Who We Are

Promptev, Inc., a Delaware corporation with its principal place of business at 21686 Fall River Drive, Boca Raton, Florida 33428, United States ("Promptev," "we," "us"), provides AI infrastructure services including websites, applications, APIs, and related tools (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

3. Beta Features & Changes

We may offer beta or experimental features. These are provided "AS IS," may change without notice, and can be discontinued at any time. Promptev reserves the right to add, remove, or modify features of the Services.

4. Credits & Fees

Promptev is pay as you go. There is no subscription, no per-seat licence, and no recurring charge for access to the Services.

• Credits. You buy credits in advance and they are consumed as you use the Services. Current prices, the minimum purchase, and what each kind of activity costs are shown in the app before you buy, and in your workspace's usage records afterwards.
• Free credits. A new workspace receives a one-time allocation of free credits, in the amount stated when you sign up. It is granted once, it is not a recurring or monthly allowance, and it has no cash value.
• Automatic top-up is optional and off by default. If you switch it on, you authorize us to charge your saved payment method for the amount you set, each time your credit balance falls below the threshold you set. You can turn it off at any time in the app, and turning it off stops any further charge. We do not charge your payment method for credits by any other means.
• Model usage on your own keys is billed by your provider. Where you connect your own model provider, charges for that model are between you and that provider; we neither resell nor mark up that usage.
• Model usage on PromptevAI is charged in credits. Where an agent answers with a PromptevAI model, the model’s cost for each answer is deducted from your credits, in addition to the other credits for that activity. These credits are shown in your workspace’s usage records.
• Refunds. Unless required by law, fees for credits are non-refundable.
• Enterprise. An annual licence for a custom deployment — including where the Services run in your own cloud account or on your own premises — is agreed in a separate order form, and that order form governs its fees and term.

5. Acceptable Use

You agree not to:

• Use the Services for illegal purposes or to distribute illegal content
• Reverse engineer, decompile, or disassemble any part of the Services
• Bypass or circumvent security measures
• Build competing services using our platform
• Use the Services for unauthorized model training
• Process sensitive personal data without appropriate safeguards
• Deploy in high-risk applications without qualified human oversight

Violations may result in immediate account suspension or termination.

6. Your Content

You retain ownership of all content you submit to the Services (Customer Content). You grant Promptev a worldwide, non-exclusive license to host, process, and transmit your content solely for the purpose of providing the Services.

Third-party model providers receive transmitted content per their respective terms.

We do not train models on Customer Content without your explicit opt-in. We may use aggregated, de-identified telemetry data for service improvement.

7. Outputs

AI-generated outputs may be inaccurate, incomplete, or misleading. You are solely responsible for evaluating all outputs and applying human review where accuracy matters. Promptev makes no warranties regarding the fitness, accuracy, or error-free nature of any outputs.

8. Intellectual Property

Promptev and its licensors own the Services and all related intellectual property. You grant us a royalty-free, perpetual license to use any feedback you provide to improve the Services.

9. Third-Party Services

The Services integrate with third-party APIs and platforms. Promptev is not responsible for third-party terms, availability, or conduct. Your use of third-party services through our platform is at your own risk.

Default AI services. Unless and until you configure your own provider for a function of the Services (answer generation, document reading or OCR, extraction, or embeddings), you instruct and authorize Promptev to perform that function using Promptev’s own AI model providers, listed on our Sub-Processors page, and to charge credits for that use. Configuring your own provider for one function does not change the others.

10. Privacy & Data Protection

Our Privacy Policy governs how we handle your data. Customers subject to GDPR may request our Data Processing Addendum (DPA).

11. Security

We implement administrative, technical, and organizational security measures. However, no transmission or storage method is 100% secure. You are responsible for the security of your account credentials and connected integrations.

12. Availability & Support

We strive for high availability but do not guarantee uninterrupted access. Scheduled and emergency maintenance may occur. Support levels are defined by your order form.

13. Term & Termination

• You may stop using the Services and close your account at any time. Because the Services are pay as you go there is no subscription to cancel, and unused credits are not refunded unless required by law.
• Promptev may suspend or terminate accounts for material breach of these Terms.
• Upon termination, your access ends and content is deleted per our retention practices, unless law requires otherwise. Where our Data Processing Agreement applies, Personal Data remains available for export and is deleted as that agreement sets out.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTEV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

Promptev shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. Our total aggregate liability is capped at the amounts you paid to Promptev in the 12 months preceding the claim.

16. Indemnification

You agree to defend and hold Promptev harmless against claims arising from your Customer Content, violations of these Terms, or breaches of applicable law.

17. Export, Sanctions & Government Use

You must comply with all applicable export control and sanctions laws. The Services are classified as "Commercial Items" for U.S. Government users under FAR 12.212.

18. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved through binding arbitration. You waive the right to participate in class action proceedings.

19. Changes

We may update these Terms with notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
